5. Access to the site
5.1 We do not guarantee that our site, or any content on it, will always be available or be uninterrupted. We may suspend, withdraw, discontinue or change all or any part of our site without notice. We will not be liable to you if for any reason our site is unavailable at any time or for any period.

6. Your account and password
6.1 In order to access your ‘Members Area’, you will enter your username and password. You should treat your password and account information as confidential and you must not disclose it to any third party. If you know or suspect that anyone other than you knows your password, you should promptly notify us at info@masterplan-fs.com
6.2 We have the right to disable any account or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these terms of use.
7. Intellectual property rights
7.1 We are the owner or the licensee of all intellectual property rights in our site, and in the material published on it (including but not limited to the products). Those works are protected by copyright laws and treaties around the world. All such rights are reserved.
8. Licences (for products only)
8.1 We hereby grant you a non-exclusive, non-transferrable licence to access, download, print and use the whole or any part of the product(s) subject to these terms and conditions.
8.2 The products are intended for your internal use, and you agree not to use the products for any resale purposes.
8.3 You will not distribute any part of the products to third parties for sale or resale (or free of charge) whether as part of a package or as a separate product.
8.4 In order to create the products, you will need to input content. You retain all of your ownership rights in your content, but you grant us a limited licence to use, store and copy that content for the purposes of your use of our site.
8.5 We will not be liable for any loss of any kind including lost profits or other consequential losses arising from your use or inability to use the product or from errors or deficiencies in any part of the product.
8.6 No liability shall attach to SME Comply, our employees or retained consultants for loss or damage of any nature suffered as a result of the use of the product or for any errors or omissions in the contents of any forms or Products.
9. How to pay and delivery
9.1 The price for each product and some of our fixed-fee services are set out on our site. We reserve the right to change our prices from time to time.
9.2 Payment in full for each product or service is due prior to download or service commencement. You may pay for products using a debit or credit card. We accept the following pasyment methods: Visa, Mastercard, Maestro, Visa Debit and BACS payment.
9.3 Products will be delivered to you in Microsoft Word format, to the email address attached to your account. If, for any reason, we are unable to deliver the products to you, we will notify you via email and arrange for a refund.
10. No reliance on information
10.1 We use reasonable care and skill in the preparation of the products. While we endeavour to make sure these are useful to you, the appropriateness of the products depends upon your understanding of your organisation and its position, and the information you input into the products.
10.2 Our products are up-to-date at the time of purchase. We are under no obligation to update products purchased after purchase.
10.3 We do not guarantee that our site, or any content on it, will be free from errors or omissions and your use of this site and reliance on its contents is entirely at your own risk.
10.4 To the extent permitted by law, we exclude all conditions, warranties, representations or other terms which may apply to our site or any content on it, whether express or implied.
11. Rights and remedies
11.1 If you consider that any product does not meet your expectations, please notify info@masterplan-fs.com as soon as possible with the relevant product attached and full details of your concern. If we agree, we will amend as appropriate or, if not possible, agree a reduction in price.
12. Limitation of our liability
12.1 Nothing in these terms and conditions excludes or limits our liability for death or personal injury arising from our negligence, or our fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
13. General
13.1 We do not guarantee that our site will be secure or free from bugs or viruses and you are responsible for configuring your information technology, computer programs and platform in order to access our site. You should use your own virus protection software.
13.2 You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.
13.3 Where our site contains links to other sites and resources provided by third parties, these links are provided for your information only. We have no control over the contents of those sites or resources.

14.1 These terms of use, its subject matter and its formation (and any non-contractual disputes or claims) are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales.

We collect, hold and process all personal data in accordance with your rights and our obligations under the GDPR/Data Protection Act 2018, and we take appropriate steps to ensure that your information is protected consistent with the principles set out in that Act, any other privacy laws, these Terms and Conditions, and our Privacy Policy.
